FREE Companies House Filing Fee
Ordinarily the Fee for Filing an Incorporation with Companies House is £13.00. Turner Little will bear the cost of the Companies House Filing Fee in every case.
Electronic Certificate of incorporation
Turner Little use an Electronic Filing System for all incorporations and receive the Certificate of Incorporation in electronic form. This is in reality the Original Certificate of Incorporation of a Company. On completion, the electronic Certificate will be emailed to you.
Electronic Memorandum & Articles of Association
Turner Little use an Electronic Filing System for all incorporations and the Memorandum and Articles of Association which are a legal requirement of all companies and prepared and submitted by Turner Little at the time of incorporation. A copy of this document will be forwarded to you in electronic form on completion.
Electronic Share Certificate (1)
In a Private Limited Company or a PLC (Public Limited Company) the share of ownership in the Company is denoted by Shares Issued. Evidence of the number of shares you hold is denoted by a Share Certificate ordinarily signed by a Director and the Company Secretary or a second Director where appointed. On completion you will be forwarded a share certificate in electronic form for signature and retention.
Fully Completed Electronic Copy of First Minutes
A Company must keep a Register of Minutes. The first minutes of the Company are prepared as part of the Incorporation process and an electronic copy will be forwarded to you on completion for signing and retaining.
Fully completed Electronic Register
A Company must keep a Company Register which actually includes several registers, namely the Register of Allotments, Register of Members, Register of Directors, Register of Secretaries, Register of Mortgages and Charges, Minutes, Register of Director’s Addresses, Register of PSCs etc. The relevant sections for your company will be forwarded to you in electronic form on completion.
Printed Certificate of Incorporation
Turner Little use an Electronic Filing System for all incorporations and receive the Certificate of Incorporation in electronic form. On completion, the Certificate will be printed on Card and the original emailed to you. This should be retained with any Company Registers.
Printed Copy of Memorandum and Articles of Association
Turner Little use an Electronic Filing System for all incorporations and the Memorandum and Articles of Association which are a legal requirement of all companies and prepared and submitted by Turner Little at the time of incorporation. A printed copy of this document will be forwarded to you on completion. This document details the way in which the company can be operated and the company must be operated in accordance with it. It forms an essential part of the Company Registers.

The relevant pages made up for a combined company register fully completed to show all appointments, shares in issue.
Printed First Minutes
The first minutes of the Company specifying all appointments and holder(s) of subscriber shares. Ready for signature.
Printed Shares Certificate(s) up to 3. Additional available at extra cost
Share Certificates in printed form showing the shares issued to relevant individuals and ready for signature. Three are included in a standard package. Additional ones are available where necessary at additional cost.
Fully Completed Hard Bound Company Register
A Combined Company Register in hard bound form which will be fully completed to show all appointments, shares in issue and will contain the first minutes of the Company (ready for signature). Share Certificates will also be completed and ready for signature.
Provision of Service Address
The address of Directors is ordinarily kept in the public domain. For those wishing a degree of confidentiality, a Service Address may be used which will appear instead. Please note that the real address will still be shown albeit it will not be visible to the public. Turner Little are happy to provide their address as the Service Address for individuals.
Provision of Registered Office Address
The Registered Office of a Company is the place at which all legal documentation can and will be served. It must be denoted at the location that it is the Registered Office of the Company. Many small businesses do not wish to use their home address as such and instead use Turner Little’s address.
Provision of Company Secretary
A Company Secretary is still required in a PLC though the requirement for one was dropped with the inception of the 2006 Companies Act. The Company Secretary is formally stated to be “the Chief Administrative Officer of a Company” and it is he who will be responsible for all sorts of matters within a company which, if not complied with, automatically become offences. In the absence of a Company Secretary, the responsibilities remain but pass to the directors directly as opposed to vicariously. Turner Little strongly recommend the appointment of a professional Company Secretary.
Fully Completed Loose Leaf Company Register in Slip Case
A superior loose leaf combined company register in a slip case. Typically having ten to twelve separate sections to which additional pages can be added as the need arises. Essential in any trading company where a hard bound combined register could become full in only a couple of years.
VAT Registration Application
Completion and submission of a VAT application for registration using information supplied by the client. Typically, registration will take a minimum of one month from application submission and often significantly longer.
Plier Company Seal
The formal ‘signature of a company’ in plier form in a pouch which can be kept in the Loose Leaf Register where provided. Its use is typically to apply to legal documents, leases, agreements etc. and is impressed using a wafer (a circular red sticker on wafer) normally witnessed by a Director and/or Secretary.
